Sustainability Committee Duties, Working Procedures And Principles
1. PURPOSE AND SCOPE
This document regulates the duties, working procedures, and principles of the İzdemir Enerji Elektrik Üretim A.Ş. ("Company") Sustainability Committee ("Committee"). The Committee is established to develop, monitor, and improve the Company's sustainability strategies and activities. In this context, it aims to increase sustainability performance in its environmental, social, and economic dimensions. The Committee is established to ensure that the concept of sustainability is integrated into the Company's operations and processes in accordance with the United Nations Global Sustainable Development Goals, that sustainability strategies are determined within an environmental, social, and governance framework, that a sustainability roadmap is created, implemented, and monitored, and that authorized personnel are identified and reported to the Board of Directors.
2. STRUCTURE OF THE COMMITTEE
The Committee is constituted and authorized by the Board of Directors with the approval of at least 3 members: two Independent Board Members, an Executive Board Member, and a Deputy General Manager. The chairperson of the Committee is appointed by the Board of Directors from among the Independent Board Members. Individuals specializing in sustainability may be selected as members of the Committee.
3. OPERATING PROCEDURES AND PRINCIPLES
The Committee meets at least twice a year, at predetermined intervals. Meetings are held according to an agenda determined by the Committee Chair. Meeting dates and agendas are communicated to members at least one week in advance. Meetings are held with the participation of at least a simple majority of the Committee members. The Committee makes decisions regarding sustainability affecting the entire company by a simple majority vote. Decisions made at meetings are recorded in minutes and approved by the signatures of the members.
4. DUTIES AND RESPONSIBILITIES
The main duties and responsibilities of the Committee are as follows:
- Determines the company's sustainability strategies and short, medium, and long-term goals. Monitors and ensures the implementation of the "Sustainability Policy" approved by the company's Board of Directors.
- Coordinates the company's sustainability efforts and evaluates the economic, environmental, and social impacts of its activities.
- Forms and authorizes working groups from relevant departments on sustainability. Obtains technical support and professional consultancy services from outside the company if necessary.
- Identifies the necessary measures to mitigate the potential negative impacts of the company's activities on sustainability.
- Manages all necessary work to ensure compliance with the principles of the "Sustainability Principles Compliance Framework" published by the Capital Markets Board (SPK).
- Identifies the company's sustainability risks and opportunities.
- Submits a report to the Board of Directors regarding the work carried out and shortcomings identified throughout the company in the field of sustainability.
5. EFFECTIVE DATE
These Terms and Conditions, Working Procedures and Principles shall enter into force on August 27, 2024, by a decision of the Board of Directors and may be updated by the Sustainability Committee as needed for any changes. These Principles are continuously reviewed and updated to improve the Company's sustainability performance and to establish more effective communication with stakeholders.
